Client is a Fortune 200 information technology product and services provider, and a key player in the global technology market. Client has a repository of several thousands of contracts which span relationships with thousands of clients and their affiliates in multiple countries. Client wants to gain control over and clearly understand the growing pool of its contractual rights and obligations. However, this would involve substantial time, cost and effort on the part of its legal and compliance personnel.

SCOPE & SCALE OF CONTRACT REVIEW:

• Client’s document pool contained over 22,500 documents running into several millions of pages, and over 200 types of agreements
• The review consisted of summarization of close to 100 business terms, in several complex areas such as intellectual property, indemnification, product-specific warranties and insurance cover
• In addition, each contract was to be compared with Client’s standard template with deviations analyzed, with recommendations for best practices in each type of agreement

• QuisLex pulled together a team of 50 attorneys in three days, led by a senior U.S. licensed Project Manager with several years of experience managing commercial contracts
• The team rapidly completed the reconciliation of several millions of pages of documents in under two weeks

Client is a leading pharmaceutical and biotechnology company, and had thousands of contracts that needed to be converted electronically, and summarized to track key terms. Client was concerned about potential exposure due to failure to track and rigorously monitor such contractual obligations.

THE QUISLEX SOLUTION:

• QuisLex arranged to digitize the contracts and had its team of contract review attorneys review and summarize key terms of the contracts
• QuisLex worked closely with the Client to create a new, proprietary electronic contracts database and uploaded all the contract summaries on to this database
• The QuisLex team also maintains the newly created contracts database for the client and updates the summaries on a regular basis so that Client always has the latest information about its contracts at its fingertips
