What Is a Non-Disclosure Agreement?

A non-disclosure agreement (NDA) is a type of contract a company may enter into with a supplier, employee, or customer. The purpose of an NDA is to protect confidential information that another party may have access to through a service agreement, strategic alliance, or other type of business relationship. The NDA bars the other party from releasing this information to a third party or the general public. This type of agreement can cover a wide range of proprietary company information, including:

  • Budgets and financial statements
  • Business and marketing plans
  • Employee records
  • Customer lists and customers’ personal information
  • Proprietary research, blueprints, or product designs
  • Overall business strategy

Sharing this kind of information despite an existing NDA is considered a breach of contract and puts the breaching party at risk of a lawsuit. NDAs can exist as freestanding agreements or as part of a larger contract. For example, if an e-commerce business hires a freelance graphic designer, they may include a non-disclosure provision in the freelancer’s contract.

An NDA may be unilateral or bilateral. In unilateral NDAs, only one party discloses confidential information. But in bilateral NDAs, each party discloses confidential information to one another, and each is bound to the terms of the agreement. For example, two software companies that collaborate on a product may enter into a bilateral NDA to protect their proprietary technologies.
